Sarah Morgan is a member of the firm’s Partnership Admissions Committee and co-head of V&E’s Mergers & Acquisitions and Capital Markets practice. She is an accomplished securities lawyer who concentrates on financing deals for customers in the energy and other industries. In all types of financing transactions, such as initial public offerings, registered offerings of debt and equity securities, private placements of debt and equity securities, preferred stock investments, and others, Sarah represents public companies, private companies, investment banks, management teams, and private equity.
ATMs that are in line with market standards, takeover offers, exchange offers, and private debt exchanges. On matters of securities disclosure, corporate governance, and compliance, she provides advice to clients, including public firms and their boards. Additionally, she plays a strategic role in advising clients on a variety of ESG issues and associated risks, such as preparing sustainability reports and providing advice on other climate disclosures, creating ESG corporate plans and overseeing related governance, and setting net zero targets and other emission-reduction goals.
